Conditions of participation in the Referral Program

1. General information

1.1. All paying Xentral customers with effective, uncancelled contracts and their employees who use the Xentral software can participate in the Xentral referral program.

1.2. Excluded from participation are employees of Xentral and their relatives as well as official Xentral partners who are in a partnership relationship with Xentral.

1.3. Referrer and Referee must be two different persons or companies that are not affiliated companies within the meaning of §§ 15 ff. AktG (German Stock Corporation Act).

1.4. In addition to these conditions of participation, the general terms and conditions (GTCs) of PowerPlay GmbH apply, whose recommendation platform "Cello" is used by Xentral to implement the referral program.

2. Requirements for participation and rejection of recommendations

2.1. Xentral can reject recommendations from the referrer at its own discretion and without giving reasons. For clarification, this applies in particular if:

• Interactions between Xentral and the referee have taken place in the last six months prior to the receipt of the referral, such as contact via trade fairs, webinars, booked free trials, offers by Xentral or the referral has received a personal demo from Xentral.
• Xentral has already received the recommendation from a third party in the last six months, or
• the referred company is, or was in the past, already a paying Xentral customer.

3. Bonus entitlement and payment to the Referrer

3.1. The referrer receives the premium advertised on the Xentral platform for each successful recommendation.

3.2. The prerequisite for the premium claim to arise is the actual establishment of the new business relationship in the form of the conclusion of a contract between Xentral and the recommended party.

3.3. The bonus will be paid out under the following conditions and subject to the following terms and conditions:

• if the Referee concludes an annual contract with an annual advance payment, the Referrer will receive the bonus as soon as Xentral receives the payment from the Referee.
• If the Referee concludes a monthly contract or an annual contract with monthly payment, the Referrer shall receive the bonus in monthly payments in the amount of 50% of the monthly license fee actually paid by the Referee until the full bonus amount has been reached.
• For the avoidance of doubt, bonuses will only be paid to the Referrer as long as the Referee actually pays the contractually agreed license fee when due. If the Referee terminates their contract before the full bonus amount has been reached through the monthly payments to the Referrer, the Referrer’s entitlement to the remaining bonus shall be void.

Example of the 50% rule for a fictitious premium sum of € 2,000:

3.4. No bonuses can be paid retrospectively for contracts already concluded with new customers.

3.5. The bonus shall be paid out by PowerPlay GmbH and shall otherwise be governed by the provisions and GTCs that the referrer accepts by participating in the Xentral referral program through the Cello platform of PowerPlay GmbH.

3.6. The referrer is advised that the bonus will only be paid out via PowerPlay GmbH for certain countries, which can be viewed via the following link.

4. Bonus entitlement and payment to the Referee

4.1. ⁠Upon entering into a contract with Xentral, the Referee will receive the discount advertised on the Xentral platform, provided that the contract is concluded between Xentral and Referee within a maximum period of 6 months from the receipt of the referral by Xentral.

4.2. The discount applies solely to the basic license fee at the time of the contract's conclusion between Xentral and the Referee. It does not apply to one-time or recurring customer-specific costs (such as onboarding, data migration, or support add-ons), nor does it apply to the variable compensation for exceeding orders.

5. Disregard of the conditions of participation

5.1. Failure to comply with the conditions of participation or other abuses will result in forfeiture of the entitlement to the bonus. Premiums already paid out must be refunded if the conditions of participation were violated in the corresponding recommendation.

5.2. Further claims by Xentral remain unaffected by this.

6. Data protection

6.1. Xentral collects, uses and utilizes the referrer's personal data only as part of the processing of this recommendation program. The legal basis for processing as part of the referral program is Art. 6 para. 1 sentence 1 lit. b GDPR. Data will not be used beyond this unless Xentral is obligated to use the data due to legal regulations.

7. Miscellaneous

7.1. The referral program is a service offered by Xentral and does not establish any legal obligations that can be enforced in court.

7.2. Xentral reserves the right to change, supplement, limit or terminate the referral program or the conditions of participation at any time.

7.3. By participating, the referrer accepts these conditions of participation.

7.4. This promotion cannot be combined with other Xentral promotions.
